If you are a foreigner or a Polish citizen who has a business activity abroad, you may establish a representative office of your company in Poland. To do so, you must obtain an entry in the register of representative offices of foreign entrepreneurs. It is kept by the Minister for Development. The current register is available on the Public Data Portal. Remember, once you have received an entry of your company in the register of representative offices of foreign entrepreneurs, you can only engage in activities related to promotion and advertising of your business. How to submit an application and required documents
In order to obtain a representative office registration, submit an application together with all attachments and proof of payment by mail or in person to the General Office of the Ministry of Development, Labour and Technology at Plac Trzech Krzyży 3/5 in Warsaw.
The documents you need to submit are:
- a completed application for entry of the representative office into the register of representative offices of foreign entrepreneurs,
- confirmation of registration of the foreign entrepreneur on the basis of which the entrepreneur conducts business activity,
- a document stating the address of the registered office of the foreign entrepreneur, together with the persons authorized to represent the foreign entrepreneur and its rules,
- approval of authorization of the person indicated in the application to represent the foreign entrepreneur in the representative office,
- proof of payment of stamp duty.
Remember that all documents which are not in Polish must be attached together with their translation into Polish. The translations must be prepared and certified by a sworn translator.
Representative office of a foreign company in Poland – Cost and waiting time
The fee of PLN 1000 should be paid by bank transfer to the account of the City of Warsaw Taxpayer Service Center. Confirmation of the transfer should be attached to the application. Waiting time for the decision is up to one month. In exceptional situations it may be extended to 2 months. In this case you will be informed about it.
Representative office of a foreign company in Poland – Entry validity
The entry you will receive is valid for 2 years. If you want the representative office to operate longer, you have to apply for an extension of its registration during the last 90 days of its validity. Such an extension is also valid for 2 years.
