Registration of a European company in the National Court Register

A European company is a capital company that conducts international business. As such, at least two member companies must be subject to a different legal regime. Such a company operates throughout the European Union and is thus automatically considered to be a European company throughout its territory. Its registration takes place according to the rules specified for public limited companies. Read the article till the end and find out how to register a European Company in KRS.

Manner of application and required documents

A company can be registered in the country where its registered office is located in an appropriate register. In Poland this is the Register of Entrepreneurs in the National Court Register. Registration of a foreign company in the

National Court Register takes place on the basis of an application. Such an application may be filed in two ways:

  • online – using the Access and Information Portal (PDI),
  • traditionally – by mail or in person – to the district court (commercial court) appropriate for the place of residence or registered office of the entity applying for entry by means of the official form KRS-W13

In addition to the completed form, forms and attachments should be attached:

  • KRS-WA – branches, field organizational units,
  • KRS-WH – manner of establishing an entity,
  • KRS-WK – bodies of the entity,
  • KRS-WG – share issues,
  • KRS-WM – subject of activity,
  • KRS-WI – executive directors,
  • KRS-WL – proxies,
  • Articles of Association,
  • statement of the management board or the administrative board on capital contribution,
  • document on the appointment of members of the company’s bodies,
  • evidence of payment of fees.

In addition, you should also attach a concluded agreement on the involvement of employees or a resolution of the negotiating team not to enter into negotiations or to terminate them.

Registration of a European Company with the National Court Register – Cost

The fees you have to pay when you apply for registration of a European Company:

  • PLN 500 – court fee for entry in the National Court Register,
  • PLN 100 – fee for announcing the entry in Monitor Sądowy i Gospodarczy.

You can pay those fees:

  • in cash at the court’s cash desk,
  • cashless – by transferring money to the court account or through the e-Payment system,
  • with e-court fee stamps.

Registration of a European Company in the National Court Register – Waiting time

The court will issue a decision within 7 days from receiving an application for registration of a European company. In case of mistakes or shortcomings in the application, it may be resubmitted within 7 days from the date of delivery of the order of return to the applicant. If the re-filed application has no deficiencies or errors, it shall have effect from the date of the first filing. If the examination of the application requires hearing the participants in the proceedings or holding a hearing, the court shall have no more than one month to do so.
