Setting up and running a company is a suitable solution for entrepreneurs who want to limit the financial risk to the loss of their own contribution. This type of business can be registered in two ways: online using the S24 form or traditionally, i.e. in the form of a notarial deed. In order to register a company in S24 mode it is necessary to have a qualified signature or a trusted profile. Both you and all your partners have to have it. Regardless of the method you choose, you need to prepare the appropriate documents to complete this step. Read the article to the end and find out more about how company registration works.
Necessary documents
The document that is necessary to set up a company is the articles of association. To construct it, you will need, among other things, the name of the company and a list of the shareholders and the titles of the shares. In addition, the required documents include a statement of initial capital coverage and completed declarations, filings and forms. Upon successful completion of all the steps, the application for registration of the company will be sent to the selected registry court. At the same time, applications for NIP and REGON numbers will be sent. Company Registration – After obtaining an entry in the National Court Register
After you obtain an entry in the National Court Register there are several steps you need to take. Make a note of them in your calendar so that you do not forget about anything. Within 7 days you should submit to the registration court a statement of the management board on covering the share capital. In the next step, for which you have 14 days, submit to the head of the Tax Office a completed declaration PCC-3 and then pay the tax on civil law transactions (you calculate it yourself). Remember that this document is signed by all members of the board. In the last step (within 21 days) submit NIP-8 declaration. If your company is going to pay social security contributions, the deadline is shortened to 7 days.
